Acceptance requirements

A foreign-invested limited liability company may be deregistered when one of the following conditions is met:

1. The company is legally declared bankrupt;

2. Its term of operations specified in the articles of association expires, or any other cause of dissolution set forth in the articles of association arises, except where the company continues to exist by modifying its articles of association;

3. A resolution for dissolution is made by the shareholders’ meeting or the shareholder of a single-member LLC or by the board of directors of the foreign-invested limited liability company;

4. Its business license is suspended, or it is ordered to close down or to be revoked according to the law;

5. It is ordered to be dissolved by the people’s court;

6. It is dissolved due to merger, split, or any other reason; and

7. Other circumstances stipulated by laws or administrative regulations.
